1. Introduction

These Terms and Conditions ("Terms") govern access to and use of the Verified Live platform, including the Verified Live website, the Customer app, and the Seller/Studio app (together, the "Platform"), operated by Verified Live (Pvt) Limited, a private limited company registered in Pakistan ("Verified Live," "we," "us," or "the Platform").

By creating an account, placing an order, listing a product, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. What Verified Live Is — and Isn't

Verified Live is a livestream shopping marketplace that connects independent sellers with customers and generates orders on sellers' behalf during livestream selling sessions.

Verified Live generates orders only. We are not the seller of any product listed on the Platform, we do not manufacture, inspect, or warehouse any product, and we do not perform deliveries.

Once an order is generated:

• The seller is solely responsible for order accuracy, product quality, packaging, and fulfilment.
• Delivery is carried out by our logistics partner (currently PostEx), not by Verified Live.
• Verified Live acts solely as a payment collection agent on behalf of the seller for orders processed through the Platform. Verified Live is not a payment service provider, does not hold or settle funds for its own account, and does not provide any banking, wallet, or payment aggregation service.
• Verified Live is not a party to the sale contract between buyer and seller, and is not liable for any act, omission, delay, loss, or damage caused by a seller or a courier.

This principle applies throughout these Terms and is restated in our Shipping Policy and Return & Refund Policy, which form part of these Terms by reference.

3. Eligibility

You must be at least 18 years old — the age of majority under Pakistani law — to create an account or transact on the Platform. By using the Platform, you confirm that you meet this requirement. The Platform applies age-gating at registration, and we may suspend accounts where age misrepresentation is detected.

4. Buyer Terms

4.1 Account & Accuracy

Buyers must provide accurate registration, delivery, and contact information, and must be reasonably reachable for order verification (including OTP confirmation) and delivery.

4.2 Orders, Overselling & Cancellation

Livestream selling means multiple viewers can attempt to purchase the same item in real time. The Platform does not guarantee real-time inventory synchronization during live broadcasts. Where simultaneous checkout requests exceed available stock, the Platform reserves the right to cancel the affected order(s) without prior notice. This right will be exercised reasonably, in good faith, and in accordance with these Terms.

Where an order is cancelled for this reason:

• The Platform's liability is capped strictly at a refund of the actual amount paid for that order.
• By placing an order, the buyer explicitly waives any right to claim consequential, indirect, or incidental damages arising from such a cancellation.
• For Cash on Delivery orders cancelled due to overselling, no financial debt or obligation is created between buyer and seller or Platform, and the buyer has no claim to any cash compensation, since no payment was collected.

4.3 Refund Timing — Payment Method Disclaimer

While the Platform triggers refund reversals on its side promptly once approved, external processing windows are outside our control. Digital wallets (e.g. EasyPaisa, JazzCash) and bank transfers may take 3–7 working days to reflect the refund, depending on the buyer's bank or wallet provider. Verified Live is not liable for delays caused by third-party banking or wallet networks.

5. Seller Terms

5.1 Registration & Verification

To register as a seller, you must provide a valid CNIC or NTN — depending on your business type — and declare your active taxpayer (filer) or non-filer status with FBR. This information is collected specifically to verify your identity, to correctly calculate payout deductions, and to comply with Verified Live's statutory reporting obligations to the Federal Board of Revenue under applicable law (including SRO 1775(I)/2025 and related instruments issued under the Income Tax Ordinance, 2001). By registering, you consent to this verification and reporting. Your information is handled as described in our Privacy Policy.

5.2 Pre-Stream Requirements

Before a seller may schedule a livestream session, the Platform's pre-stream checklist must be fully completed. The checklist covers operational setup items, including (without limitation):

• A minimum number of active products (currently 5) added to the stream from the seller's approved catalog;
• Accurate product descriptions, details, images, and pricing for every item to be featured;
• Confirmed pickup address and courier handoff details for order dispatch;
• Completed bank account (IBFT) details for payouts; and
• Confirmation that no counterfeit goods, restricted or regulated items, or items requiring a special licence the seller does not hold will be listed.

The current pre-stream checklist is maintained as a formal annexure to the Seller Onboarding Terms. By going live, the seller warrants that the checklist has been completed and that all listing information is accurate. Verified Live strictly enforces this requirement and may decline, postpone, or end any session that does not meet it.

Any attempt to manipulate, deceive, or defraud the Platform, its buyers, or its systems will result in immediate account suspension, and Verified Live may pursue legal action where such conduct causes financial loss to the Platform or to buyers.

5.3 Fulfilment & Customer Service

Once an order is generated, the seller is responsible for:

• Handing off the order to PostEx (or the applicable courier) within 24 hours;
• Providing accurate, well-packaged, tamper-evident-sealed products matching the livestream listing;
• Handling day-to-day after-sales customer service directly. Verified Live only becomes involved in queries the seller has been unable to resolve;
• Responsibility for loss or damage in transit rests with the seller under our Shipping Policy — sellers of high-value items are expected to arrange insurance or otherwise bear replacement/refund cost; and
• Accepting and honouring valid returns under our Return & Refund Policy.

5.4 Order Acceptance

Sellers may accept or reject any order at the point it is generated. A rejected order is treated as a Platform-cancelled order under our Cancellation Policy, and any payment collected is refunded to the buyer.

5.5 Grounds for Suspension

Verified Live may suspend or terminate a seller's account for: inaccurate listings, repeated late dispatch, confirmed fraud (including participation in fraudulent-return schemes), a pattern of quality complaints, or listing counterfeit or prohibited stock.

5.6 Commercial Terms & Payouts

Commission rates, payout schedules, and related commercial terms are set out separately in Verified Live's Seller Onboarding Terms, which every seller acknowledges at registration. Payouts follow a fixed fortnightly batch schedule (the 1st and 15th of each month), disbursed via IBFT. An order is only included in a payout batch once it has cleared a post-delivery safety-buffer period (currently 7–10 days), to allow time for any return request to surface. This hold operates as an escrow-like safeguard: funds from delivered-but-not-yet-buffered orders are segregated for the purpose of securing potential refunds, and are released to the seller automatically once the buffer clears. It is not a withholding of earned amounts and accrues no interest or fee.

6. Account Integrity

To protect buyers, sellers, and the Platform, Verified Live maintains account-integrity controls, including:

• OTP verification on orders and sensitive account actions;
• Cancellation of orders where fraud, repeated failed OTP verification, or another integrity concern is flagged;
• Progressive restrictions for confirmed fraudulent returns, including revocation of Cash on Delivery access, conversion to prepaid-only, or full account suspension for repeat or severe cases (see our Return & Refund Policy, Section 7); and
• Suspension of accounts engaged in repeated failed verifications or verification abuse.

These measures are applied under a consistent, documented standard, not arbitrary discretion.

7. Livestream Content & Intellectual Property

• Seller-owned content: Product photos, descriptions, and other materials a seller creates or owns and uploads to the Platform remain the seller's property.
• Platform-owned content: Livestream broadcasts and recordings made through the Platform are the property of Verified Live and will carry Verified Live's branding (logo or splash screen).
• Shared use: Where a livestream or its clips feature a seller's products, both the seller and Verified Live may use that content for their own marketing purposes. Where Verified Live uses a seller's product clips for paid marketing, attribution or revenue-share treatment (if any) will be as set out in the Seller Onboarding Terms.
• Verified Live reserves the right to end a livestream or remove a listing at any time, including mid-session, where reasonably required to protect buyers, sellers, or the Platform, or to comply with law.

8. Limitation of Liability

To the maximum extent permitted by law:

• Verified Live's total liability to any buyer or seller arising from use of the Platform is limited to the actual amount paid in the relevant transaction.
• Verified Live is not liable for consequential, indirect, incidental, or special damages of any kind.
• Verified Live is not liable for the acts or omissions of sellers or couriers, including PostEx, as set out in Section 2.

Nothing in these Terms limits liability that cannot be limited under Pakistani law, including liability for fraud or wilful misconduct.

9. Indemnification

You agree to indemnify and hold Verified Live harmless from claims, losses, or expenses arising from your breach of these Terms, your listings (if a seller), or your misuse of the Platform.

10. Force Majeure

Verified Live is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, pandemics or epidemics, strikes, internet or power outages, courier network disruptions, government action, or changes in law or government policy affecting the operation of the Platform.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of Pakistan. Before initiating formal proceedings, parties are encouraged to resolve disputes through the following tiers:

1. Support & Grievance Redressal: Raise the issue with Verified Live support or our internal grievance redressal mechanism (see our Contact Information page) — we aim to resolve most issues at this stage.
2. Mediation/Arbitration: Disputes not resolved at tier 1 may be referred to mediation, and failing that, to arbitration seated in Karachi under the applicable arbitration framework in Pakistan.

The courts of Karachi shall have exclusive jurisdiction over any dispute arising from these Terms or use of the Platform, to the extent permitted by applicable consumer protection law.

12. Amendments

Verified Live may update these Terms from time to time. Continued use of the Platform after an update constitutes acceptance of the revised Terms.
